These terms and conditions ("terms") apply to all exhibitors, sponsors and bookers (together, "you" or "your") participating in any event organised, managed or delivered by We Are Made Events ("Made Events", "we", "us" or "our").

By submitting a booking, signing an agreement, or participating in a Made Events event in any capacity, you agree to be bound by these terms.

1. Definitions

• Event: Any conference, exhibition, awards event, networking event or live experience organised or managed by Made Events.

• Booking: Any confirmed space, sponsorship, package or participation agreed between you and Made Events.

• Venue: The physical or virtual location at which the event is held.

• Force majeure: Any circumstance beyond our reasonable control, including but not limited to acts of God, fire, flood, pandemic, government regulation, strike, terrorism or venue closure.

2. Booking and acceptance

2.1 All bookings are subject to availability and acceptance by Made Events.

2.2 A booking is deemed confirmed once you have completed and signed our digital standard booking form (PandaDoc).

2.3 The person completing and signing the booking confirms that they have full authority to do so on behalf of the organisation.

2.3 These terms apply in full to all bookings unless otherwise expressly agreed in writing.

3. Fees, payment and invoicing

3.1 All fees are quoted exclusive of VAT unless stated otherwise.

3.2 Invoices are payable in full within the payment terms stated on the invoice. Failure to pay may result in:

• withdrawal of participation rights

• removal from event marketing materials

• refusal of access to the event

3.3 We reserve the right to charge interest on overdue invoices in line with the Late Payment of Commercial Debts (Interest) Act 1998.

3.4 No participation, stand build, branding or sponsorship activation may take place unless payment terms are met.

4. Cancellations by you

4.1 All bookings are non-refundable unless otherwise agreed in writing.

4.2 If you cancel your booking for any reason, the following charges will apply:

• Cancellation more than 90 days before the event: 50% of total fees payable

• Cancellation 90 days or less before the event: 100% of total fees payable

4.3 If you fail to attend or participate for any reason, this will be treated as a cancellation and no refund will be issued.

5. Changes and cancellations by Made Events

5.1 We reserve the right to make reasonable changes to the event, including but not limited to:

• date and time

• venue or event format

• agenda, speakers or layout

5.2 In the event of cancellation due to force majeure or circumstances beyond our control, we will not be liable for any losses incurred by you. Where reasonably possible, we may offer:

• a credit toward a future event, or

• transfer of your booking to a rescheduled date

5.3 Our total liability to you shall not exceed the total fees paid by you for the event.

5.4 We do not guarantee the attendance, participation or location of any other exhibitor, sponsor, speaker or delegate, and this shall not give rise to any right to cancel a booking or make a claim.

6. Event delivery and conduct

6.1 You agree to comply with all reasonable instructions issued by Made Events, the venue, and any relevant authorities.

6.1a You also agree to comply with any exhibitor manuals, event guides, operational notes or venue regulations issued in connection with the event.

6.2 You must ensure that your stand, materials and staff comply with all health and safety requirements and venue regulations.

6.3 We reserve the right to remove any exhibitor, sponsor or representative whose conduct is deemed unsafe, disruptive, offensive or detrimental to the event.

7. Stand build, branding and materials

7.1 You are responsible for ensuring that all materials, branding and displays are:

• safe and fit for purpose

• compliant with applicable laws and regulations

• installed and removed within agreed build and breakdown times

7.2 You are liable for any damage caused to the venue or third-party property by you or your contractors.

7.3 We reserve the right to restrict or remove any materials we reasonably believe to be inappropriate or unsafe.

7.4 We reserve the right to reasonably adjust stand position, layout or space allocation where required for operational, safety or event delivery reasons.

8. Insurance and liability

8.1 You are responsible for maintaining adequate insurance, including public liability insurance, for your participation in the event.

8.2 Made Events accepts no responsibility for loss, theft or damage to property, equipment or personal belongings.

8.3 Nothing in these terms excludes liability for death or personal injury caused by negligence or for fraud.

9. Marketing, data and publicity

9.1 By participating in the event, you grant Made Events the right to:

• use your name, logo and branding for event marketing and promotion

• photograph or record the event for marketing and reporting purposes

9.2 You warrant that you have the necessary rights to provide any materials, logos or content supplied to us.

9.3 Personal data will be processed in accordance with our privacy policy and applicable UK data protection laws.

10. Intellectual property

10.1 All intellectual property rights in the event, including branding, content and format, remain the property of Made Events or its licensors.

10.2 You may not record, reproduce or distribute event content without prior written consent.

11. Assignment and subletting

11.1 You may not assign, sublet or share your booking space or sponsorship rights without our prior written consent.

12. Governing law

12.1 These terms are governed by and construed in accordance with the laws of England and Wales.

12.2 The courts of England and Wales shall have exclusive jurisdiction.

13. General

13.1 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force.

13.2 These terms constitute the entire agreement between you and Made Events relating to your participation in the event.
